Welcome to TGA Portal. By accessing or using our application, data rooms, and services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a legal entity, such as a General Partner (GP) or Limited Partner (LP) entity, you represent that you have the authority to bind such entity to these terms.

1. Platform Access and Security

Authorized Users: Access to the Portal is restricted strictly to authorized General Partners, Limited Partners, and their designated representatives.

Credential Security: You are entirely responsible for maintaining the confidentiality of your login credentials (usernames, passwords, and multi-factor authentication methods). You agree to immediately notify TGA Portal of any unauthorized use of your account.

Administrative Actions: You acknowledge that actions taken within the Portal-including but not limited to issuing capital calls, approving distributions, executing partnership documents, or altering banking details-carry legally binding consequences under your respective Limited Partnership Agreements (LPAs). TGA Portal acts strictly as a technology facilitator and is not responsible for the validity or accuracy of these administrative commands.

2. Electronic Delivery and Consent

By using the Portal, you explicitly consent to receive all communications, legal disclosures, capital call notices, distribution statements, and tax documents (including IRS Schedule K-1s or local equivalents) electronically through the platform or via the email address associated with your account. You agree that electronic delivery satisfies any legal requirement that such communications be in writing.

3. Limitation of Liability and Service Disruptions

To the maximum extent permitted by law, TGA Portal and its software providers shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from:

The use or the inability to use the platform during time-sensitive financial events (e.g., pending capital call deadlines).

Any unauthorized access to or alteration of your financial transmissions or data.

Inaccuracies, errors, or omissions in financial reporting data uploaded or synced by the GP or third-party fund administrators.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
